Board of Directors Job Description

The Board of Directors serving a credit union is responsible for providing strategic direction, oversight, and guidance to ensure the financial health, stability, and mission alignment of the organization. Directors work collectively to represent the best interests of the membership, establish policies, and uphold the values of the Credit Union.

Key Responsibilites

  • Provide strategic leadership by establishing long-term goals and approving major initiatives to advance the Credit Union’s mission

  • Oversee financial performance and ensure the Credit Union operates in a safe, sound, and compliant manner.

  • Approve policies, budgets, and business plans, while monitoring progress against established objectives.

  • Protect the assets of the Credit Union and safeguard the interests of its members.

  • Ensure compliance with all applicable laws, regulations, and ethical standards.

  • Hire, supports, and evaluate the Chief Executive Officer/President, and ensure effective succession planning.

  • Participate actively in board and committee meetings, prepared with a thorough understanding of agenda items.

  • Maintain knowledge of the Credit Union’s products, services, industry trends, and regulatory environment.

  • Represent and promote the Credit Union in the community, serving as an advocate for the membership.

  • Maintain confidentiality of sensitive information and avoid conflicts of interest.

Qualifications

  • Credit Union member in good standing (required).

  • Demonstrated leadership, governance, or community involvement experience.

  • Knowledge of financial management, banking business, or nonprofit governance preferred.

  • Strong analytical, decision
